Areas of Practice
Commercial Real Estate
Brandon represents buyers, sellers, investors, property managers, and lenders in a broad range of commercial real estate matters including acquisitions and dispositions, leasing, asset management, real estate lending and finance (including CMBS financings), land use and zoning, limited partnership and syndicated offerings, and construction and development projects.
Mergers & Acquisitions
Buying or selling a business presents a myriad of legal and business challenges including deal structure, due diligence, risk allocation and financial terms. Brandon has experience representing small and mid-market and publicly-traded clients in buy and sell-side M&A transactions across a variety of industries. His background in finance, business and investing allows him to bring a unique perspective to each deal and add value traditionally offered by investment bankers and other financial advisors.
Business & Corporate
Starting and operating any business requires thoughtful planning and execution from entity selection and formation, capital markets, labor and employment, tax, regulatory, corporate governance, and risk management. Brandon has a passion for helping his business clients navigate an ever-evolving legal landscape. Beyond advising on purely legal issues, Brandon brings years of operational experience to the table and is always eager to provide clients with strategic business guidance.
Investment Due Diligence
Leveraging his experience working for the Securities and Exchange Commission’s Enforcement Division, Brandon is uniquely positioned to provide clients with a comprehensive review of private placement memoranda and other offering materials to identify often-hidden investment risks and liabilities in an effort to mitigate the client’s exposure to fraud and other detrimental terms and conditions.
